The ISDA Agreement outlines the terms that parties are to trade their derivatives. Derivatives are financial contracts that companies share with dependent values on underlying assets. These assets influence the financial value of the contracts, and derivatives can be used to trade many assets at once.
These are: the single agreement concept (Section 1 (c)); the condition precedent, which makes each partys obligations to perform conditional on no event of default having occurred in relation to the other party (Section 2 (a) (iii)); and the close-out netting provision (Section 6).
The ISDA master agreement, consists of (i) the standard agreement (the ISDA Master) which governs the general contractual relationship between the parties, (ii) the Schedule used by the parties to negotiate terms in the standard agreement or to provide for new or additional provisions and (iii) the Confirmation which
The ISDA identifies its three key work areas as: Reducing counterparty credit risk. Increasing transparency. Improving the operational infrastructure of the derivatives industry.
Subject to some limited exceptions, events of default and termination events will only give rise to the right to terminate an ISDA Master Agreement (or certain transactions under an ISDA Master Agreement) once the non-defaulting or non-affected party delivers a notice of the relevant event to the other party.
Also known as Schedule to ISDA Master or simply ISDA Schedule or Schedule. A document which parties to a derivatives transaction typically use to alter the terms of, or add terms to, the pre-printed standard form ISDA Master Agreement.
Section 6 (Early Termination) of the Master Agreement sets out the consequences of an occurrence of an Event of Default or Termination Event as detailed in Section 5 (see Practice Note: Scope of the ISDA Master AgreementSection 5 (Events of Default and Termination Events)).
The framework consists of a master agreement, a schedule, confirmations, definition booklets, and credit support documentation. The master agreement is a document agreed to between two parties that sets out standard terms that apply to all the transactions entered into between those parties.
