Limitation of liability under an indemnity In certain cases, the risk of loss caused by a bdocHub of contract may exceed the contract price, and the indemnifying party may not afford an uncapped indemnity.
A counter-indemnity is an obligation to make a reimbursement in relation to a primary indemnity, guarantee, bond or any similar arrangment. For example, we may be a corporate supplier in a commercial contract. As part of the contractual arrangements, our bank may issue a performance bond to our customer.
Indemnity can be claimed for actions of a third party, whereas damages can only be claimed for actions of the parties to the contract. Indemnity covers loses even if the contract is not bdocHubed, whereas damages can only be claimed for loss arising out of bdocHub of contract.
You should sign an indemnity agreement when there is a high degree of likelihood that you could incur third-party risk in a transaction. For example , when you run a construction company, you likely hire contractors that represent they complete work to specific standards standards that you are happy with.
Indemnity clauses do not have to involve any element of financial compensation. They can simply be used to remove liability from a party in the contract, as per the example above. However, indemnity clauses do see widespread use in commercial contracts for financial reasons.
Why are indemnity clauses misused? Indemnity clauses are most commonly misused for two reasons: That if a risk is not covered by an indemnity, a party will not have adequate means of recovering its loss if the risk materialises.
Indemnification is protection against loss or damage. When a contract is bdocHubed, the parties look to its indemnity clause to determine the compensation due to the aggrieved party by the nonperformer. The point is to restore the damaged party to where they would have been if not for the nonperformance.
An indemnification cap, or cap on an indemnity clause , is a cap on liability. It represents the obligation of a seller to a buyer against bdocHubes of reps and warranties. This cap is the maximum liability under the indemnification stipulations and is stated to a specific dollar amount.
