Under BEA 1882, s 83(2), a promissory note is not valid until it is indorsed by the maker. BEA 1882, s 84 provides that a promissory note is inchoate and incomplete until delivery thereof to the payee or bearer. This means that the contract contained in a promissory note is not complete until delivery.
The debt owed on a promissory note either can be paid off, or the noteholder can forgive the debt even if it has not been fully paid. In either case, a release of promissory note needs to be signed by the noteholder.

The note should include details of the original promissory note and also indicate that the original promissory note is canceled at the request of both parties.
