Each individual word references a separate provision; some lenders may desire some provisions and not others, depending on their goals.
A subordination, non-disturbance, and attornment agreement (SNDA) is a three-party agreement among: A lender who has (or is about to take) a security interest in real property that is being: encumbered by a mortgage, deed of trust, or other security instrument; and. affected by one or more commercial leases.
A nondisturbance clause is a provision in a mortgage contract that ensures that a rental agreement between the tenant and the landlord will continue under any circumstances. This is done primarily to protect the renter from eviction by the mortgagor if the property is foreclosed upon by the lender.
It should be noted that a similar agreement in a ground lease scenario is called a Non Disturbance Agreement (NDA) and there is no subordination in that context. An SNDA is a commonly used tool to protect and lender and a tenant when the landlord borrows funds to purchase the leased building.
The purpose of an SNDA is to establish: The priority of the lien of the lenders security interest in the mortgaged property over the lien of the tenants leasehold estate that is created under the commercial lease.
