The exact process will depend on your LLCs policies, but most of the time, amending an operating agreement involves these steps: Hold a meeting of all LLC members. To dissolve your domestic LLC in Pennsylvania, you must provide the completed Certificate of Dissolution, Domestic Limited Liability Company (DCSB: 15-8975/8978) form to the Department of State by mail, in person, or online.

What Should be Included in an Operating Agreement? Names, addresses, and titles of each member. Ownership percentages. Member rights and responsibilities. Except as provided in the operating agreement, any or all managers of a limited liability company may be removed or replaced with or without cause by a vote of a majority in interest of the members entitled to vote thereon.
Removal may be as simple as the member submitting a letter of resignation, depending on the relevant provisions. However, if the member is not willing to voluntarily resign, the provisions might provide, for example, a voting procedure allowing the other members to vote for the removal of the recalcitrant member.
A member of an LLC can only be removed via written notice of withdrawal unless the LLCs articles of organization or LLC operating agreement in question specify a method for LLC members to vote out other members.
