If you dont publish notice of your LLC within 120 days of forming or registering your LLC, New York will suspend your authority to do business in the state. This will make it nearly impossible to secure any business licenses or permits.
What is an Affidavit of Publication? An Affidavit of Publication is a sworn, written statement made in the presence of a notary public or a person who is authorized to administer an oath, attesting that the publication took place on specified days.
You have to run your publication notice in two different newspapers for six consecutive weeks. One newspaper must be a daily newspaper and the other must be weekly. Both newspapers have to be located in the county where your LLCs office is located. You cant choose just any county newspaper for publication.
N.Y. Limited Liability Company Law 206 requires all LLCs to publish legal notices announcing themselves to the public. In a nutshell, youll need to publish legal notices: in two newspapersone daily and one weekly.
(See Section 23.03 of the Arts and Cultural Affairs Law). Limited liability companies that fail to comply with the publication requirements within 120 days after their formation or qualification will have their authority to carry on, conduct or transact any business suspended.
What happens if you dont complete this step? New York Limited Liability Company Law 206 stipulates that a failure to comply with the publication requirements within the designated timeframe will result in the suspension of your LLCs authority to carry on, conduct, or transact business.
