A contract can be modified, but generally requires the same level of formality as the original agreement, including new consideration. There are exceptions for merchants under the UCC, where modifications may not need additional consideration. Unilateral modifications without consideration are typically unenforceable. A key issue is whether modifications must be in writing if the original contract falls under the statute of frauds. The UCC generally requires written modifications, while common law jurisdictions might differ on whether a common law contract that failed under the statute of frauds must also meet writing requirements for modifications.
