A contract addendum is a post-contract attachment that modifies, alters, or totally changes some of the terms of a previously established contract. Typically, this adds something new to a preexisting document. Once all parties named in a contract agree to an addendum, it becomes a part of the new contract.
If consent among all parties has not occurred, then it is illegal to alter a signed contract. Most of the time, however, a contract will include how to change, extend, or terminate itself as standard practice.
You can use a contract amendment letter to list the changes to the original document and have both parties sign. You can create a contract amendment created from a template or from a legal services provider. You can add amendment pagesdigital or printto the end of the original signed contract.
The modification should be in writing and should be signed by both parties to the contract. The modification should clearly identify the changes that are being made to the original contract. It should also specify the effective date of the modification.
If the contract is silent on the matter, you may only make changes with the approval of the other party. Both parties must agree to the changes. Depending on the extent of changes, you may be able to simply amend the document. In this case, both parties must sign approval of the changes.
But what happens when they want to change a term of a signed contract? In most instances, there is nothing stopping the parties agreeing to vary its terms and it will be legally binding even if it was just agreed with a handshake. However informal and/or undocumented changes can often have unintended consequences.
You need a contract amendment whenever you or the other party wants to change the terms of the agreement. Once youve discussed the change with the other party, one of you will draft the changes, and both will sign them.
For example, in connection with a contract modification, a reporting entity may agree to provide a partial refund due to customer satisfaction issues related to goods already delivered.
Contract modification is a generic term meaning any written change in the terms and scope of the contract. The terms modification and change are often used interchangeably. Contract modifications (frequently referred to as mods) are common actions for many contracting professionals.
How to create a contract amendment Pinpoint what you want to change or add. Look at your contract and write down the parts you need to change. Date and title the new amendment. Next, add the current date and the title and date of the original agreement to the document. Draft and describe the changes. Finalize the changes.
