The short answer is yes, a CIC can convert to become an incorporated registered charity and, in some circumstances a charitable company can convert to become a CIC. However an organisation cannot be both a CIC and a Charity at the same time.
The Charities Act 2011 provides that it is a requirement of a charitable purpose that it is for the public benefit. It defines this as the public benefit requirement.
Under the Act, provided a merger has been entered on the Charity Commissions register of mergers, a legacy to a charity which has transferred its assets to another will be treated as a gift to the new / merged body, even if the charity named in the will has been wound up.
These provisions include: An extended power for charities to pay trustees for providing goods to the charity under certain circumstances (in addition to services, and goods connected to services)
Instead they are, technically, formal legal consolidations. In a merger, one or more non-profit corporations merge into another, with the latter becoming the surviving corporation and the other(s) being automatically dissolved by virtue of the merger.
