This week, Ive been looking at the case of Coleman v Mundell, which was handed down at the end of last month. The case was a dispute about an oral contract. The claimant, Mr C sought specific performance of the contract, which is an order compelling a party to comply with their contractual obligations. It is an equitable remedy and so it is only available at the courts discretion. The facts of this case may be summarised as follows. Mr C, the claimant, had a company which was suffering financial difficulties and he wanted to secure a cash injection into his business. He owned shares in a Spanish entity. The defendant Mr M was Mr Cs friend and also a businessman. Mr C and Mr M had a conversation on the 30th of September 2016. Mr C and Mr M each recalled that conversation differently. The assets that can be used as collateral for asset based lending must be tangible, identifiable, and easily convertible to cash. Some examples of eligible assets are inventory, accounts receivable, machinery, equipment, and real estate.
To prove your ownership of the collateral youre offering, youll have to provide additional documents like W-2s, bank statements, pay stubs, receipts, and deeds.
For example, companies X and Y enter a construction contract with X as the client and Y as the builder. Y then enters a collateral contract with Z, a materials supplier. If the materials are found defective, X may be able to sue Z even though they do not have a contract with one another.
For a collateral contract to exist, it must be consistent with the main contract, be promissory and contain all the elements of a contract. Additionally, the parties must not have intended it to be part of the main contract and you must give consideration for the promise.
