An unsecured promissory note is an obligation for payment without any property securing the payment. If the payor fails to pay, the payee must file a lawsuit and hope that the payor has sufficient assets that can be seized to satisfy the loan.
While Promissory Notes are different to loan agreements, they are legally binding and enforceable.
What a Promissory Note Includes. In order for a promissory note to be valid and legally binding, it needs to include specific information. A promissory note should include details including the amount loaned, the repayment schedule and whether it is secured or unsecured, says Wheeler.
Under BEA 1882, s 83(2), a promissory note is not valid until it is indorsed by the maker. BEA 1882, s 84 provides that a promissory note is inchoate and incomplete until delivery thereof to the payee or bearer. This means that the contract contained in a promissory note is not complete until delivery.
Signatures : Make sure signatures of both the borrower and the lender are included on the promissory note. For a promissory note to be legally enforceable, the document needs the signature of each party.
