This Precedent is a put and call option agreement. It grants an option to call for shares in a company to be offered for sale (exercisable by the proposed transferee) and an option to put shares in that company forward for purchase (exercisable by the proposed transferor).
A call option gives the holder the right to buy a stock and a put option gives the holder the right to sell a stock. Think of a call option as a down payment on a future purchase. Options involve risks and are not suitable for everyone. Options trading can be speculative in nature and carry a substantial risk of loss.
A call option allows a potential purchaser the right to compel the vendor to sell the property at an agreed price. A put option allows the owner of the property the right to compel the proposed purchaser to buy the property at an agreed price.
A call option agreement to be used in connection with a stockholders investment in a company. This agreement sets out the terms and conditions under which the stockholder grants the company the right to purchase (or call) the shares of the company held by that stockholder under certain circumstances.
It is not an agreement to buy / sell a property, rather it is a precursor to such an agreement under which: the buyer is given the option to require the seller to sell the property to them (Call Option); and. the seller is given the option to require the buyer to buy the property from them (Put Option).
An Option Agreement is an agreement between two parties where one party provides the other party with a right to buy or sell something at an agreed price, within a certain period of time.
What is a Put Option? A Put option allows the Seller to prompt the Buyer to buy their remaining shares at a specific price on a specific future date. Put Call options in a Shareholders Agreement therefore create a similar outcome to a conventional Business Sale Agreement.
Example of a put option By purchasing a put option for $5, you now have the right to sell 100 shares at $100 per share. If the ABC companys stock drops to $80 then you could exercise the option and sell 100 shares at $100 per share resulting in a total profit of $1,500.
