- Hi, this is Dan Whitney with the Whitney Law Firm in Towson, Maryland. If youre watching this video youre probably trying to figure out what to do when the car dealer lied to you. So Im an attorney here in Maryland, Ive been handling car dealership cases for probably about 10 years. And the short answer is, when a dealer lies to you youve got a couple options. One you can complain, theyre probably going to ignore it. Two, you can file a complaint with the Department of Motor Vehicles, or here in Maryland its the MVA. Sometimes thats investigated quickly and theres a great result. Other times the result may not be what youre looking for. And your third option is to consult an attorney. and if the facts are good, you may very well be able to file a lawsuit against the dealer. I find that its a lot easier for car dealers to ignore a letter of representation, or a complaint, or a couple voicemails, but its not so easy for them to ignore a lawsuit. That seems to get the attent

Option Consideration means the excess, if any, of the Merger Consideration over the per share exercise price of the applicable Company Option.
In order to form a valid contract, consideration must meet the following conditions: It must be something worth bargaining for. It must benefit all the parties to the contract. It must be something of value.
An option is a right that the owner of a real property (the optionor) gives to another person (the optionee) to buy certain property at a fixed price for a definitive duration. An option is an offer that binds the optionor to sell, but does not obligate the optionee to purchase.
Consideration is a promise, performance, or forbearance bargained by a promisor in exchange for their promise. Consideration is the main element of a contract. Without consideration by both parties, a contract cannot be enforceable.
Feb 9, 2022. An option agreement is where a prospective buyer enters into an agreement with a landowner for the right to buy their land/property, often paying the landowner a sum of money as an option fee. The prospective buyer then has the option (within a period defined within the agreement) to buy the land/property.
A call option allows a potential purchaser the right to compel the vendor to sell the property at an agreed price. A put option allows the owner of the property the right to compel the proposed purchaser to buy the property at an agreed price.
If an option is not supported by consideration, it is considered an offer and not a contract. Consideration is generally defined as something of value. It may consist of a promise to perform a desired act or a promise to refrain from doing an act that one is legally entitled to do.
Option agreements are unenforceable unless consideration is given for the option. The Supreme Court affirmed that if the purchase agreement is really an option agreement then, like all option agreements, it will not be enforceable unless the optionee gave consideration for the option right.
