The SEC defines an accredited investor as either: an individual with gross income exceeding $200,000 in each of the two most recent years or joint income with a spouse or partner exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year.
This exemption allows distributions of an issuer's securities to an investor who is purchasing an amount of at least $150,000 as principal. It is important to note that, as a result of recent regulatory changes, the investor may not be an individual.

The term “eligible investor” is defined in National Instrument 45-106 Prospectus Exemptions and may vary slightly between jurisdictions. Under Alberta securities law, the term “eligible investor” generally refers to an individual whose: net assets, alone or with a spouse, exceed $400,000.
There is no formal process to register as an accredited investor, but you should be prepared to provide documentation that proves you meet the income and financial asset requirements. Contact the OSC's Inquiries & Contact Centre to learn more about the rules that relate to prospectus exemptions.
Under rule 506 b, issuers of securities are exempt from the registration requirements of the Securities Act for unlimited size offerings. However, to qualify under this rule, the securities that are being offered can only be bought by accredited investors and no more than thirty-five unaccredited investors.
The SEC exempt offerings allow private companies to offer and sell securities without registering the securities with the SEC, it's a starting process for small businesses. Many private companies raise money by selling equity to investors.
By using the Private Issuer Exemption , you can issue securities to form your organization and you can sell securities in any amount without any disclosure, provided these trades are only to the following: directors, officers, employees or control persons of the issuer.
It's well known that the primary benefits to such investors include access to unique investment opportunities which are not ordinarily available to non-accredited investors, the prospect of higher returns, and increased diversification in their portfolios.
