A companys ability to make loans and investments is governed by Section 186 of the Companies Act of 2013. It specifies that a business can invest through more than two tiers of investment firms. Give a loan to anyone or anything.
1: Approval of Board. The approval of the Board is required in all cases irrespective of the amount of loan, investment, guarantee or security. The approval of the Board shall be obtained by means of a unanimous resolution passed at a Board meeting with the consent of all the directors present at the meeting.
Directors Resolution in Writing (DRIW) is a written document consisting of resolutions passed by the directors when a physical meeting is not held. It needs to be posted in the minute book of the company and maintained by the company secretary. It can either be a physical copy or an electronic version.
Three forms of resolutions are available: ordinary resolution, special resolution and unanimous resolution.
1: Approval of Board. The approval of the Board is required in all cases irrespective of the amount of loan, investment, guarantee or security. The approval of the Board shall be obtained by means of a unanimous resolution passed at a Board meeting with the consent of all the directors present at the meeting.
A special resolution is defined in section 9 of the Corporations Act as one that is passed by 75% (ie, at least three quarters) of the votes cast by shareholders entitled to vote (either on a show of hands at the meeting or by the inclusion of proxies if on a poll) being in favour of the resolution.
The special resolution approval of the members of the company is necessary only when the limit specified by Section 186 (2) is exceeded. To facilitate this special resolution, a proposal is made to the members in a general meeting to secure their votes in favour of the proposal.
