What decisions require a resolution? appointing company directors. changing directors powers. changing the name of a company. changing the articles of association. changing the share structure.
Resolution Types The directors resolutions dont usually need filing at Companies House, unless you are talking about a substantial change being proposed that would affect the company, such as a change of PLC status following the buying back of shares.
In order to transfer ownership of the shares, the company director will need to fill out a Stock Transfer Form (Form J30), and they will then need to complete and issue a share certificate to the new shareholder. The new shareholder will then pay the previous shareholder the full value of the purchase price.
At the meeting the vote may be conducted on a simple show of hands or (more likely) a poll vote. The resolution to remove a director will succeed if more than 50% of shareholders in attendance vote in favour of removal.
Things that usually need a resolution include: changing your company name. removing a director. changing your companys constitution and articles of association - how your company is run. changing your companys share structure.
Under the provisions of CA 2006 there are three types of resolutions: ordinary resolutions, special resolutions, and written resolutions.
The procedure for removing a director by ordinary resolution is set out in sections 168 and 169 of the Companies Act 2006. A shareholder wishing to propose a resolution to remove a director must give special notice of his intention to the company.
Three forms of resolutions are available: ordinary resolution, special resolution and unanimous resolution. There is no concept of special resolution in board meetings and very few unanimous resolutions are also required. However, all three are covered in the case of general meetings.
