An exclusive distribution agreement is an agreement between a distributor company and a supplier company that grants the distributor exclusive rights to sell the suppliers goods. This means that the supplier agrees to now allow another distributor to sell its goods for the duration of the agreement.
Updated October 21, 2020: The difference between exclusive and non-exclusive agreement refers to how vendors and partners work with each other. Exclusive agreements exclude competitors for a set period of time, while non-exclusive agreements allow for competitors, often as motivating tools.
In an exclusive agreement, the specified distributor will be the sole distributor with the right to sell the product within a particular geographic region or within multiple regions. If the arrangement is nonexclusive, the manufacturer or vendor may supply other distributors, sometimes competing in the same market.
Disadvantages of non-exclusive distribution agreements As above: distributors realise that end users tend to be very price sensitive for life science products and so spend a lot of time reviewing the competition. Lower profits and no guarantee that they will get the business means less time spent on the supplier.
Differences between agency and distribution An agent is paid commission on a percentage basis. A distributor sells the product to the customers and will usually add a margin to cover costs and profit. The agent does not own the products. A distributor owns the goods, and takes the risk of the goods not selling.
In the case of non-exclusive distributors, the distributor responsible for the resale of the product is not the only distributor present in that particular territory. Therefore, there are other distributors, hired by the supplier, in the same territory, who engage in the distribution of the products of the supplier.
