Securities lending and repo are part of the broader category of securities finance as they both facilitate the temporary transfer of securities, on a collateralised basis, in return for an agreed interest rate that is accrued daily.
A repurchase option is a term used when a company originally issues stock shares. It allows the company to repurchase the shares from the shareholders who own them at a later date. A repurchase option may be used for a number of reasons by a company.
As with most financial markets that trade over-the-counter (OTC), repo transactions can be roughly categorized into two groups: Trades between a broker-dealer and its client, and trades between two broker-dealers.
Essentially, Repo 105 is an aggressive and deceitful accounting off-balance sheet device which was used to temporarily remove securities and troubled liabilities from Lehmans balance sheet while reporting its quarterly financial results to the public. These transactions were recorded as sales rather than as loans.
Repo and sec lending trades are conducted in over-the-counter markets that intermediate between borrowers and lenders, facilitating the exchange of securities and cash.
In the case of a repurchase transaction, an immediate and equal income payment (often call a manufactured payment) is made by the buyer to the seller. In the case of a buy/sell-back, there is no income payment between buyer and seller.
Repo 105 was a repurchase agreement that a company used to gain funds via short-term loans that are backed by collateral. Under Repo 105, if a company had the ability to repurchase the assets, it was considered a financing transaction and if it did not, it would be a sale.
Thus, on financial statements and balance sheets, repo agreements are generally reported in the debt or deficit column as loans.
