Dissolution is a process to bring about the end of an unwanted company. When a company has been dissolved, it will cease to exist as a legal entity. All trade will stop, the companys name will be removed from the Companies House register, and it will have no further filing requirements.
Dissolution is usually voluntary by the members (shareholders) if they have no further use for the company. Common examples of why a company would be voluntary struck off are as follows: Retirement.
While both words are concerned with the end of a business partnership, dissolution refers to the process itself, and usually to the departure (or death) of one or more individuals from the entity, while termination refers to the cessation of all operations, including the disposal of all assets.
Dissolving a company refers to winding up the business formally. In addition to ceasing business operations, the dissolution process involves various other formalities. Usually, you need to file articles of dissolution or a similar document with the secretary of state.
There is no direct Form 966 penalty for non-filing or late filing, but by not properly notifying the IRS of a dissolution or liquidation, it may result in collateral damage and other penalties.
A dissolve is a classic editing technique used to transition between shots, typically shots that bridge two scenes together. As opposed to a straight cut from one shot to another, a dissolve involves the gradual transition from the first image to the next.
By dissolving an LLC properly, it means that the LLC is no longer a legal business entity so you wont be expected to pay any fees or taxes, or file any more documents. Despite no longer operating, it is possible for members to create a new LLC and run it in the same way as the dissolved company.
You will need to file a certificate of revival, which is also known as an application for reinstatement, articles of revocation of dissolution, or an application for revival with the state.
