Directors remuneration refers to compensation the company gives to its directors for the services rendered. This can be through fees, salary or by use of a companys assets. The remuneration paid to Directors is issued only on receiving approval from shareholders and the Board of Directors.
Salaried directors are taxed at source through HMRCs Pay As You Earn (PAYE) system, just like any other employee. Income Tax and National Insurance Contributions (NIC) must be deducted through payroll, along with additional employers NIC, and paid directly to HMRC.
Only the Central Government has to give its opinion that the director possesses the requisite qualification for practice of profession and no prior approval for payment of remuneration for professional service is required too [Ruby Mills Ltd. v. Union of India [1985] 57 Com Cases 193 (Bom.)].
Remuneration for a director is usually in the form of a salary or bonus, but there are other methods by which a director may receive their reward.
As regards to PF: Directors getting remuneration shall be excluded. Partners shall be excluded. Self employed (proprietor) if getting salary, is to be counted for computation of employees for coverage. Deduction towards PF can be made if he is not opted for excluded employee with in the meaning under the Act.
The directors cannot themselves fix the remuneration of all or any one of themselves. A managing or whole time director may be paid either on a monthly basis or a specified percentage of the net profits of the company or partly by one way and partly by the other.
The aggregate amount of sums paid to third parties in respect of making the services of a director available should be disclosed.
Receiving salary remuneration means that the director and the company have to pay National Insurance Contributions (NICs) and will have to pay income tax at a higher rate than a dividend might incur.
