This is an important document filed with the state in which you plan to domicile your corporations name and its infrastructure. Now, thats a little confusing because some corporations are incorporated in Delaware and lets say theyre incorporated in Delaware, but they do business and theyre headquartered in California. Theyre a foreign corporation in California because theyre headquartered, officially chartered or incorporated in Delaware. Now, this document states the address of the corporations parent company, where the actual physical headquarters is located. The type of stock its going to be issuing whether its voting stock, class A stock, class B stock, various information, thats important to notify the government that youre incorporated and you plan on doing business, and how many shares and the authorization of those shares youre going to have out.
