A DB plan termination is a permanent decision to end the plans operations, and the employer must distribute all money in the plan. The payout options for your plan will continue to be available and may already include a lump-sum option (your entire benefit is paid immediately).
Full termination - Affected participants are current or former employees who havent received full payment of their vested interest by the plan termination date, unless theyve incurred at least 5 consecutive 1-year breaks in service.
3 For example, a plan for a retiree with 30 years of service at retirement may state the benefit as an exact dollar amount, such as $150 per month per year of the employees service. This plan would pay the employee $4,500 per month in retirement.
All employees must be 100% vested by the time they attain normal retirement age under the plan or when the plan is terminated. If you have questions about your vesting, ask your employer or human resources department, read the Summary Plan Description or refer to your annual benefits statement.
When a plan terminates, the accrued benefits of all affected employees must become 100% vested (Internal Revenue Code Section 411(d)(3)).

Although legally, you have every right to liquidate your old 401(k) account and receive a cash distribution upon termination, doing so would reduce your savings for retirement. Additionally, the distributions will increase your annual taxable income.
Upon plan termination, participants must be immediately 100% vested in all accrued benefits. In a 401(k) plan, for example, this means that employer matching and profit-sharing contributions must become fully vested regardless of the vesting schedule in the plan document.
