There are three types of agreement commonly referred to as letters of intent. Letters of Intent are issued at a time when a contract has not been agreed and executed, but it is anticipated the contractor will incur costs and overheads related to the project. Such costs and overheads will occur at the on-set of a project, in design and engineering.
Terms included in an LOI are certain stipulations, requirements, timelines, and the parties involved. Many LOIs include non-disclosure agreements (NDAs) and no-solicitation provisions.
The sample format for a Construction LOI includes essential components such as an effective date, project details, work scope, payment terms, and signatures of both parties. A well-drafted LOI provides an interim agreement until formal contracts are finalized, helping to prevent disputes.
A letter of intent will describe the types of services to be performed, the payment plan, the timeline of the contractors portion of the project, and other terms that enable the parties to negotiate the final contract in good faith.
The LOI serves to streamline the engineering and processing time of work or delivery, particularly when concerns arise about the time frame and terms conditions. It acts as a preliminary commitment to convince the selling party to proceed with the work until negotiations are finalized.
A letter of intent is a pre-contractual letter from a prospective principal notifying a prospective contractor (tenderer) that the principal intends to award the contract to the contractor.
