Dissolving a company is a formal way of closing it. Dissolution refers to the process of striking off (removing) a company from the Companies House register. It can be the most straightforward way of shutting a company down once its directors have decided it should no longer trade.
The request for dissolution is mailed to the Companies and Personal Property Security Branch, 393 University Avenue, Suite 200, Toronto ON M5G 2M2.
This intent to dissolve should include the following information: A detailed description of the claim. Information regarding the claim, the amount of the claim, and whether it is admitted to or not. A mailing address where any claims can be sent. A deadline: This must be at least 120 days after the written notice date.
The dissolution clause is a statement that explains what said organization will do with its assets in the event that the organization dissolves. This clause is particularly important given that the assets of a nonprofit are not owned by any person or group.
LLC Dissolution is known by a few different names usually either Articles of Dissolution or a Petition for Dissolution. Whatever your state calls the dissolution, its a legal document that allows a business to close permanently.
Dissolution of corporation refers to the closing of a corporate entity which can be a complex process. Ending a corporation becomes more complex with more owners and more assets.
When a Certificate of Intent to Dissolve is issued, the corporation must cease to carry on its activities except to the extent needed for the liquidation. It must also: notify creditors of its intent to dissolve.
To dissolve an Ontario corporation, the following documentation must be submitted to the Ministry of Public and Business Service Delivery: Articles of Dissolution. Letter consenting to the dissolution from the Ministry of Revenue must be submitted with the Articles of Dissolution within 60 days of issuance.
To obtain a Certificate of Intent to Dissolve, a completed and signed copy of Form 4019 Statement of Intent to Dissolve must be submitted to Corporations Canada. (See available instructions.) There is no filing fee.
To obtain a certificate of intent to dissolve, complete and sign Form 19 Statement of Intent to Dissolve (see Federal corporation forms) and submit it to Corporations Canada. Do not submit copies of the directors resolution or shareholders special resolution with the applications.
