a 'memorandum of association' - a legal statement signed by all initial shareholders or guarantors agreeing to form the company. 'articles of association' - written rules about running the company agreed by the shareholders or guarantors, directors and the company secretary.
A Memorandum of Association (MoA) represents the charter of the company. It is a legal document prepared during the formation and registration process of a company to define its relationship with shareholders and it specifies the objectives for which the company has been formed.
An MOA is a legal document that every company needs to file during its registration. It consists of the basic details of the company with its purpose of incorporation. On the other hand, an AOA is a document that lays down the guidelines on which the company will operate.
New companies will typically adopt the model articles of association upon formation. These 'model articles', or similar versions of them, are available from all company formation agents and Companies House. They contain the standard “boilerplate” provisions which are used by the majority of companies.
Where can I get a copy of my company's memorandum and articles of association? You can download a copy of your memorandum and articles of association online via Companies House. If you register through 1st Formations, we will provide you with a copy of these documents when your company has been incorporated.
If you register your company online, you don't need to write your own memorandum of association. It will be created automatically as part of your registration. If you register by post, use the memorandum of association template. You cannot update the memorandum once the company has been registered.
All limited companies must have articles of association. These set the rules company officers must follow when running their companies. “Model” articles of association are the standard default articles a company can use. They are prescribed by the Companies Act 2006.
The articles are a public document open to inspection at Companies House. They create a contract between the company and each of its members in their capacity as members. Companies have freedom in drafting their articles although they are subject to relevant provisions of the Companies Acts.
Articles of association form a document that specifies the regulations for a company's operations and defines the company's purpose. The document lays out how tasks are to be accomplished within the organization, including the process for appointing directors and the handling of financial records.
The Articles of Association for a Limited company are available on the official public record provided by Companies House. A further copy should be retained at the companys Registered Office address or SAIL address.
