A pass-through claim is a claim by a party who has suffered damages (typically a subcontractor), against a responsible party with whom it has no contract (typically a governmental entity, i.e., the Owner/Government), presented by an intervening party (typically the prime contractor) who has a contractual relationship
A pass through contract is, to all intents and purposes, the opposite of a fully-fixed contract in that, while you agree to a price for your energy, not all rates and charges are paid for upfront and so will be added to your bill on an ad-hoc basis.
Pass-through clauses (a.k.a. flow-down or conduit clauses), typically incorporate by reference the terms of a prime contract between owner and general contractor into a subcontract, thereby binding subcontractors to the same duties and obligations and to the same extent as the general contractor has to the owner.
A pass-through claim can be defined as a claim: (1) by a party who has suffered damages; (2) against a responsible party with whom it has no contract; (3) presented through an intermediary who has a contractual relationship with both.
Federal Acquisition Regulation (FAR): An example of a Federal Acquisition Regulation citation is: FAR 16.405-2. To cite to a historical FAR section, include the appropriate year in the parenthetical: FAR 17.109 (2008).
52.209-6 Protecting the Governments Interest When Subcontracting With Contractors Debarred, Suspended, or Proposed for Debarment. As prescribed in 9.409, insert the following clause: Protecting the Governments Interest When Subcontracting With Contractors Debarred, Suspended, or Proposed for Debarment (NOV 2021)
Also referred to as pass-through or conduit clauses, these powerful provisions apply the terms and conditions of the prime contract (entered between the GC and property owner) to the subcontractor and may include scope of work, timelines, payment, change orders and dispute resolution terms.
The Federal Acquisition Regulation (FAR) is the primary regulation for use by all executive agencies in their acquisition of supplies and services with appropriated funds. The FAR also contains standard solicitation provisions and contract clauses and the various agency FAR supplements.
