Import/Export Agreements are sometimes referred to as Distribution Agreements. These kinds of agreements are drafted between businesses when one is purchasing goods from overseas by way of import. The export contract is used for the international sale of certain products (industrial supplies, raw materials, manufactured goods), which are projected for resale, where the buyer is a trader, importer, distributor or wholesaler that will sell the products to another company or merchant.

Import is when a company buys goods from another country, with an aim of reselling it in the domestic market. Export is when a company provides goods and services to the other countries for selling purposes. To meet the demand for goods which are not available in the domestic country.
Essential clauses of the Export Agreement Parties: This clause of the contract shall contain the details of the parties such as, name of the parties entering into the contract along with their detailed address, nationality, company details along with the tax details of the parties.
The most commonly used are Free on Board (FOB), Cost Insurance and Freight (CIF), Cost and Freight (CF) and Ex Works (EXW). These Incoterms are favourable to an exporter (depending on the type of goods and cargo used) because the responsibility of all costs and charges are mutually shared between the parties.
These elements are: (a) Name and addresses of the parties, i.e. importer and exporter must be stated clearly and fully. (b) Product standards and specifications such as name of the product, its technical name, if any, applicable national or international standards, etc.
Export Contract means any purchase agreement, purchase order, invoice or similar arrangement or document evidencing any Export.
