Why do confidentiality agreements expire?

The agreements impose burdens that require policing and impose costs on the party receiving confidential information. The receiving party may seek to limit this burden by negotiating for an explicit expiration of the partys obligations to maintain confi- dentiality, often a five- to ten-year term.

Can confidentiality agreements be perpetual?

How long should the recipient of confidential information keep it a secret? Your NDA may state that this obligation survives in perpetuity (that is, with no fixed termination date), but the markup you receive caps the period to the term of the agreement, or to several years after disclosure of the information.

How long do employee confidentiality agreements last?

Confidentiality agreements can run indefinitely, covering the parties disclosures of confidential information at any time, or can terminate on a certain date or event. Whether or not the overall agreement has a definite term, the parties nondisclosure obligations can be stated to survive for a set period.

What makes a confidentiality agreement unenforceable?

There are several reasons why an NDA might be unenforceable, however. If the NDA is too broad, the information under the NDA is not actually confidential, or if the agreement requires the employee to do something illegal. NDAs must be carefully crafted for proper enforcement.

Do nondisclosure agreements expire?

Most NDAs last for as long as the agreement states in its terms, and can be for as long as the parties agree. This is particularly important for trade secrets, which have no registration-type protections and can only be protected for as long as they are kept secret.

Do confidentiality clauses survive termination?

Confidentiality obligations generally are not intended to end upon termination or expiration of the NDA. Confidentiality obligations last until the expiry of the Confidentiality Period (which is usually not the term of the NDA). It is important to have the Confidentiality Period clearly identified in the NDA.

What voids a confidentiality agreement?

Language that is too broad, unreasonable or onerous can void an agreement. Courts will also challenge or invalidate agreements that are overly expansive, oppressive or try to cover non-confidential information. Subsequently, if the information becomes public knowledge, an NDA can no longer be enforced.

What happens if you break a confidentiality agreement?

Violating an NDA leaves you open to lawsuits from your employer, and you could be required to pay financial damages and possibly associated legal costs. Its illegal to reveal trade secrets or sensitive company information to a competitor.
