After the NDA expires, the information may no longer be considered confidential and may be disclosed freely.
In some instances, the parties may agree that a specific duration is long enough to require an obligation of confidentiality. In other situations, the theory may be that there is no way to know how long certain information will remain valuable if not disclosed, so the duration should be perpetual.
Confidentiality agreements can run indefinitely, covering the parties disclosures of confidential information at any time, or can terminate on a certain date or event. Whether or not the overall agreement has a definite term, the parties nondisclosure obligations can be stated to survive for a set period.
Some NDAs may have an expiration clause that lasts for a certain number of years after the agreement is signed, while others may specify an expiration date. In some cases, an NDA may have no expiration date, and the confidential information must be kept secret indefinitely.
The term of a confidentiality agreement will usually be between 1 and 3 years, or linked to the life of a contract, for example an employment contract. This can be longer if required, but unlimited terms can be struck down as an unreasonable restraint.
Survival Clauses A survival clause may include wording to the effect of: Clause 3 Confidential Information survives termination or expiry of this agreement together with any other term which by its nature is intended to do so.
Vague And Unreasonable Terms Can Invalidate An Agreement Subsequently, if the information becomes public knowledge, an NDA can no longer be enforced.
Confidentiality agreements are sometimes put in place at a later date than the date they are actually drafted thus memorializing a prior agreement. Again, backdating of such an agreement is entirely appropriate.
