The trademark being assigned should be identified along with relevant ownership information (e.g. registration number). Consideration must be listed (i.e. what each party is receiving). List the effective date of the transfer. Contract must be duly executed.
As per the provisions of Section 45 and Rule 68 of the Trademarks Act, 1999, an application to register the title of a person who becomes entitled by assignment or transmission shall be made in Form TM-24 or TM-23 as it is made by such person alone or conjointly with the registered proprietor.
Trademark owners may need to transfer ownership or change the name on their application or registration. This could happen while your trademark application is being examined or after your trademark has registered.
The person for the time being entered in the register as proprietor of a trade mark shall, subject to the provisions of this Act and to any rights appearing from the register to be vested in any other person, have power to assign the trade mark, and to give effectual receipts for any consideration for such assignment.
Abandonment of a trademark occurs when the owner of the trademark deliberately ceases to use the trademark for three or more years, with no intention of using the trademark again in the future. When a trademark is abandoned, the trademark owner may no longer claim rights to the trademark.
The key difference between a license and an assignment is that an assignment transfers rights away from the original copyright or patent holder. Whereas the licensor retains ownership of the intellectual property rights, the assignor gives up the rights entirely.
Restrictions on Assignment of Trademark The assignor cannot assign a trademark when the assignment results in the creation of exclusive rights in different persons with relation to the same or similar products or services and will likely deceive or cause confusion.
Lanham Act Section 29 limits recovery of damages or profits to an accounting period after the accused infringer receives actual notice of the federal registration of the trademark allegedly infringed unless the registrant provided statutory notice such as by using the symbol with the trademark in connection with
Section 45 of the Trademark Act defines use in commerce as a bona fide use of a trademark in the ordinary course of trade.
To prevail under 43(a) of the Lanham Act, a plaintiff must show that it has a valid, protectible trademark and that the defendants use of a colorable imitation of the trademark is likely to cause confusion among consumers.
