Not only is it required by state law to update your California Articles of Incorporation, but there are many other reasons why its imperative that you do so. For example, properly amending your Articles of Incorporation can ensure that your corporation continues to: Receive the benefits of being a registered entity.
The amendment shall include the Secretary of State entity number and be submitted to the Secretary of States office for filing. If it conforms to law, the Secretary shall file it and endorse the date of filing thereon. Thereupon the articles are amended in the manner set forth in the statement.
Section 13 of the Companies Act, 2013 deal with change of name which says that the name of the company can be changed by a special resolution and with the approval of the Central Government. Approval of Central Government is not required if the change relates to the addition/deletion of the words private to the name.
Changing Your Company Name When changing its name, company must get an approval from the state BEFORE officially using the new name. A corporation or LLC name is changed by filing an amendment to the Articles of Incorporation or Organization (Article of Amendment).
Articles of Amendment is a formal document that is filed with the state of registration when any business entity wants to change its legal name. If the company also does business in other states as a Foreign Entity, it should not use the new name until it files Articles of Amendment in each one of those states.
You can do this in two ways: Write to the IRS to inform them of the name change. Be sure to write them at the same IRS address you would have mailed your tax return to (if you were to file a paper tax return)! Notify the IRS of your name change using your current years tax return.
How to Change an Existing Business Name Understand why youre changing your business name. Conduct a name search. Obtain approval. Notify the Secretary of State and contact the IRS. Determine if you will need a new EIN. Update business licenses and permits. Speak with a legal professional.
To amend (change, add or delete) provisions contained in the Articles of Incorporation, it is necessary to prepare and file with the California Secretary of State a Certificate of Amendment of Articles of Incorporation in compliance with California Corporations Code sections 900-910.
