Hi there and welcome to this video on Transactions (zipForm Edition). Today well be looking at the New Forms Editor, focusing on the advanced features. Lets go ahead and get started. If youre busy working on documents in the Workspace, but need to come back to it later, you can keep your progress by clicking on Save. The next time you open up the New Forms Editor, youll get a pop up asking if you want to open your previous workspace or start a new one. You can work on different areas of the Transaction without having to leave the Workspace. Any updates you make will automatically pull through to other Forms and relevant areas within the Transaction. For example, within Parties, you can view and add new contacts. Just click on Add, then Add New Party, then enter in the information. You can also edit the Listing information from within the Forms Editor. You can even go so far as to import data by using an MLS Listing with our MLS-Connect plugin, or via Tax Records with our Record

A loan agreement (also known as a lending agreement) is a contract between a borrower and a lender which regulates the mutual promises made by each party. There are many types of loan agreements, including facilities agreements, revolvers, term loans, working capital loans.
A modification agreement is meant for all changes to the loan which represent a new agreement between the parties different from the initial agreement. Typically, this will be used for material terms such as the maturity date, interest rate, an increase or decrease in the loan amount, or an adjustment to holdbacks.
Include key terms of the loan, such as the lender and borrowers contact information, the reason for the loan, what is being loaned, the interest rate, the repayment plan, what would happen if the borrower cant make the payments, and more. The amount of the loan, also known as the principal amount.
A promissory note is usually shorter and less formal than a loan agreement, as it only outlines the repayment terms while ignoring many specific contractual terms. Youll likely issue a promissory note to a borrower if you lend money to a family member or investor for real estate purposes.
Are Promissory Notes Always Required? There are some instances when a lender may not require a promissory note, such as a small loan between friends of family members. However, if there is no promissory note, theres not much a lender can do to enforce the repayment of their loan.
There are 10 basic provisions that should be in a loan agreement. Identity of the parties. The names of the lender and borrower need to be stated. Date of the agreement. Interest rate. Repayment terms. Default provisions. Signatures. Choice of law. Severability.
Often there is no legal requirement that a promise to pay be evidenced in a promissory note, nor any prohibition from including it in a loan or credit agreement. Although promissory notes are sometimes thought to be negotiable instruments, this typically is not the case.
