A promissory note is a contract, a binding agreement that someone will pay your business a sum of money. However under some circumstances – if the note has been altered, it wasn't correctly written, or if you don't have the right to claim the debt – then, the contract becomes null and void.
Does a promissory note have to be notarized? A valid promissory note only needs the signatures of the participating parties involved in the agreement, not necessitating acknowledgment or being witnessed by a notary public to be legitimate.
Two parties are involved in the promissory note. They are: Drawer/Maker: Drawer is the debtor who promises to pay the amount to lender or creditor. Payee: Payee is the creditor who is been promised by the borrower or debtor about the pending payment.
At its most basic, a promissory note should include the following things: Date. Name of the lender and borrower. Loan amount. Whether the loan is secured or unsecured. If it's secured with collateral: What is the collateral? ... Payment amount and frequency. Payment due date. Whether the loan has a cosigner, and if so, who.
Missing payment amount or schedule A promissory note can become invalid if it excludes A) the total sum of money the borrower owes the lender (aka the amount of the note) or B) the number of payments due and the date each increment is due.
The debt owed on a promissory note either can be paid off, or the noteholder can forgive the debt even if it has not been fully paid. In either case, a release of promissory note needs to be signed by the noteholder.
Detailed Information – The note has all the required information including the name of the drawer and payee, date of maturity, terms of repayment, issue date, name of the drawee, name, and signature of the drawer, principal amount, and the rate of interest, etc.
A promissory note is a written promise by one party to make a payment of money at a date in the future. Although they may be issued by financial institutions, it is also common for other organizations or individuals to use promissory notes to confirm the agreed terms of a loan.
Even if the note had been originally valid, you can void it by altering it. If you and the debtor renegotiate the terms and sign off on the changes, that's fine; if you make a change without the debtor's approval, it's not going to fly.
Why do I need a promissory note? You need a promissory note if you want to ensure that a debt will be repaid. This note is legally binding on the party that owes the money and properly records the transaction and repayment terms.
