Assignment. If the original tenant assigns its interest in the lease, its privity of estate terminates, but its privity of contract remains intact. In other words, assignment of the lease ends its right to possession, but, absent an express release under the terms of the lease, its liability under the lease continues.
California law allows landlord to change the terms of a month to month tenancy with proper notice. However, changing is not always as simple as just sending a notice.
The disclaimer of a lease releases the original tenant from liability if it is the current tenant. If it has assigned the lease, it remains liable unless the landlord acts in such a way as to make clear that it no longer regards the original tenant as bound, eg by re-entering the property.
The assignor remains liable for its obligations under the lease, in essence being responsible for the default of the assignee. Now the assignor would almost universally receive an indemnity from an assignee against any loss arising from the assignees bdocHub of the lease.
What is the Assignment Clause and When is it Triggered? Every commercial lease contains an assignment provision that lays out the landlords and the tenants rights and obligations in the event that the tenant seeks to assign the lease.
Sub-letting involves a tenant leasing out all or part of their premises to a third party. Under a sub-letting agreement, the rights and obligations created under the initial lease remain in force. An assignment involves transferring the lease from one party to another.
Transferring a lease is known as assigning a lease. The tenant (lessee) is the assignor of the lease and the proposed new tenant is the assignee. You must ask the landlord in writing for consent to transfer (assign) the lease.
