Annual Performance Evaluation The Committee will conduct and review with the Board of Directors annually an evaluation of the Committees performance with respect to the requirements of this Charter. This evaluation should also set forth the goals and objectives of the Committee for the upcoming year.
The duties of an audit committee include reviewing the financial statements, making recommendations on the appointment or removal of statutory auditors of the company, review of internal control systems of the company etc.
On an annual basis, the Committee should review and discuss with the independent auditors all docHub relationships they have with the Company that could impair the auditors independence.
The charter is a formal document approved by the governing body and/or audit committee (governing body) and agreed to by management. It must define, at minimum: Internal audits purpose within the organization. Internal audits authority.
This charter must be updated at least once a year but more frequently as circumstances may necessitate. It should be approved by the Board and endorsed by the Audit Committee, in order to formally establish the authority of the Internal Audit function.
In India, the audit committee should consist of at least three directors and other directors as decided by the board of directors from time to time. At least two-thirds of the total members of the audit committee should be other than the whole-time director or managing director.
REVIEW OF THE CHARTER The Committee will annually review its Charter to ensure that it remains relevant with the Committees authority, objectives and responsibilities. All changes or amendments to the Charter will be discussed and approved by the Accounting / Officer.
