The articles of a corporation under the Canada Business Corporations Act (CBCA) can be amended by submitting a request through the Online Filing Centre. You will have to pay a filing fee (see Services, fees and processing times).
A special resolution, with a 75% majority, has to be passed by the Board to give effect to any alteration of the articles. The votes which are cast in favour of the resolution should be at least three times more than the number of votes if any cast against the resolution.
Youll need agreement from your shareholders before changing your companys articles of association - the rules about how your company is run. This can include changes to your companys objects - what your company does as a business.
Amend a companys articles of association by special resolution. As per section 283 of the Companies Act 2006, you can amend a companys articles of association by passing a special resolution of the members, provided there is a legitimate reason for making such changes.
Constitution and articles of association Youll need agreement from your shareholders before changing your companys articles of association - the rules about how your company is run. This can include changes to your companys objects - what your company does as a business.
The special resolution to amend the Articles of Association must be passed by a majority of 75% or more of the members who vote at the meeting either in person or by proxy listing the resolution(s) proposed. A signed copy of the special resolution should be sent to Companies House within 15 days of the General Meeting.
How to update your articles? If you wish to take advantage of the provisions in the Companies Act 2006 then you should review your company articles. You can amend company articles at any point in time by passing a special resolution in a shareholders meeting.
You can file Articles of Amendment online if you received a company key giving you authority over the corporation (see Notice Company Key). You can file directly with the Ministry Government and Consumer Services (Ministry) through ServiceOntario at our website .ontario.ca/businessregistry.
