Convertibles appeal to investors because they provide protection against big losses, and pay higher income than common stock.
The equity liability portion for the convertible bonds can be calculated using the Residual Approach. This approach assumes that the value of the equity portion is equal to the difference between the total amount received from the proceeds of the bonds and the present value of future cash flows.
Types of a Convertible Debenture: Fully Convertible Debenture: These are debentures in which the whole value of debentures can be converted into equity shares of the company. Partly Convertible Debenture: In this kind of debentures, only a part of the debentures will be eligible for conversion into equity shares.

By using an 83(b) election, the founder/employee can recognize ALL of the securities at the time of purchase, at the price as of that date (usually very very small), rather than some later point in time.
Also, depending on the exact terms of conversion, the accounting rules may require that the convertible bond is treated either as a liability or as equity. In some cases, accounting rules may require the instrument to be split with one part treated as equity and another part as a liability.
A convertible note should be classified as a Long Term Liability that then converts to Equity as stipulated from the contract (usually a new fundraising round).
