For 2023 proxy statements, new disclosure is required for deadline and other information on future proposals that may be submitted under Rule 14a-19,25 the SECs new universal proxy rule that requires the use of a universal proxy card in contested elections.
A universal proxy card lists the names of all duly- nominated director candidates for election at an upcoming shareholder meeting, regardless of whether the candidates were nominated by management or shareholders.
The Commission proposed new Rule 14a-11, which would require any company that is subject to the proxy rules under Section 14(a) of the Securities Exchange Act of 1934 (including any such investment company) to include shareholder nominees for director in its proxy materials.
The proxy rules require the company to provide certain disclosures in a proxy statement to its shareholders, together with a proxy card in a specified format, when soliciting authority to vote the shareholders shares.
Rule 14a-19(e)(1) requires that the proxy card in a contested director election include the names of all nominees of each side in the contest, including any proxy access nominees.

Rule 14a-8 of the Securities Exchange Act of 1934 provides a framework allowing a public company shareholder to request that a proposal be included in the companys proxy statement, to be voted upon at a companys shareholder meeting.
