What is a Contract Variation Agreement? A contract variation agreement is an agreement used to amend or vary the terms of an existing contract by mutual consent of all parties to the original agreement.
An agreement between two entities to collaborate on commercializing one or more products incorporating one partys patentable technology, know-how, or other intellectual property (IP).
Any agreement that two parties make can be legally enforced, whether its written or verbal. A signed document is important because it provides proof that an agreement exists and shows both parties agreed to identical terms.
It is not illegal to alter a contract once it has been signed. However, it must be materially changed, meaning that if an important part of the contract is altered by the change, it must be made by mutual consent of both parties.
Always put a contract amendment in writing and make sure both parties sign and date it. Reference the title of the contract, if applicable; its original parties; and original signing date, so that it is clear what document you are amending. Attach the amendment to the original contract.
