Change in Partners in an LLP The Director Identification Number or DIN of the partner. The PAN of the director. proof of name and proof of address of the appointed person and PAN of such person. Consent to act as such partner, which is to be filed under Form 6.
LLP can change the LLP Agreement by filing Form 3 (Information with regard to Limited Liability Partnership Agreement and changes, if any, made therein). However, in case change in LLP agreement is due to change in partners/ designated partner, Form 4 has to be filed along with Form 3.
A member of an LLP may be a designated member as recognised in the Companies Act. At any given time an LLP must have a minimum of two designated members. A designated member will command the same rights and responsibilities as a non-designated member with the exception of several additional points.
The default legal position is that a partner can only be expelled from an LLP if the power to expel is granted by an express provision in the LLP agreement. The starting point when considering a partners departure is therefore the LLP agreement.
To add or remove a partner from LLP, the consent of other partners must be obtained, which is followed by a change in the LLP Agreement and application to MCA to approve the changes. The application to MCA must be filed within 30 days of effective date of the change.
The company can appoint any of its nominees as one of the designated partners in the LLP to act on behalf of the company. Then the company can take the hold on assets and liabilities of the LLP and pay in cash to the partners of the LLP.
