Removing a Name from a Partnership The partner can pursue dissolving the business. If the companys operating agreement does not have any provisions to the contrary, dissolution will be the only name-removal option. The individual and his or her other partners will need to dissolve the business and re-register it.
This may involve calling a board of directors meeting and then holding a vote for removal. If no bylaws exist or if the bylaws dont specifically address the procedure for removing an officer, the corporation should follow the removal procedure thats outlined in the Articles of Incorporation.
Unless your LLC operating agreement has a provision for withdrawal or expulsion, there are only two mainstream options available for removing a member from an LLC. The first is voluntary dissolution and the second is judicial dissolution. Voluntary dissolution requires a majority vote of the members.
In general, the operating agreement will have a buyout provision for any member who no longer wants to be part of the LLC, stipulating how much the company is worth and how much each remaining member needs to pay in order to buy out the leaving members ownership percentage of the company.
Articles of Amendment are filed when your business needs to add to, change or otherwise update the information you originally provided in your Articles of Incorporation or Articles of Organization.
Changes to Articles of Incorporation If changes are desired to be made to the Articles of Incorporation, the changes can be made by filing a Certificate of Amendment with the Bureau. Reasons for amending the Articles of Incorporation include changes in the name, purpose or street address.
To make amendments to your Washington State Corporation, you must provide the completed Articles of Amendment form and provide them to the Secretary of State by mail, by fax or in person, along with the filing fee.
A member of an LLC can only be removed via written notice of withdrawal unless the LLCs articles of organization or LLC operating agreement in question specify a method for LLC members to vote out other members.
