Name Amendment Overview A name amendment is a form filed with the state in which your business is located to officially change the name with the states records.
If a company changes its name, a contract will still be valid. However, before we can discuss the validity of a contract after a company changes its name, business owners should first understand contract law, and the requirements for entering into contracts with other parties.
An amendment is typically used to change something thats part of an original contract. Think of amendments as modifications to the earliest agreement (for example, altering an agreed-upon deadline). An addendum is used to clarify and add things that were not initially part of the original contract or agreement.
Always put a contract amendment in writing and make sure both parties sign and date it. Reference the title of the contract, if applicable; its original parties; and original signing date, so that it is clear what document you are amending. Attach the amendment to the original contract.
It is not illegal to alter a contract once it has been signed. However, it must be materially changed, meaning that if an important part of the contract is altered by the change, it must be made by mutual consent of both parties.
(a) We may amend any provision of this Agreement by giving you written notice of the amendment. Either party to this Agreement may terminate the Agreement without cause by giving the other party at least thirty (30) days written notice of its intention to terminate.
