How to Remove a LLC Member or Manager. Under Michigan law, LLC members can remove a manager for cause. However, a member can neither withdraw nor be expelled unless the operating agreement allows it. Most operating agreements include provisions dictating circumstances where a member can be removed.
There is no state law in Michigan that requires LLCs to have an operating agreement.
Voluntary Withdrawal A member of an LLC can only be removed via written notice of withdrawal unless the LLCs articles of organization or LLC operating agreement in question specify a method for LLC members to vote out other members.
1. Amend Your Florida LLC Operating Agreement Draft a resolution to remove a member. Hold a meeting of all members. Vote on the resolution. Pass the resolution (if the majority vote in favor)
Removing a Member ing to Governing Documents The usual method of involuntary removal is a vote by the other members followed by a buyout based on the departing members interest or share in the company. Member buyouts may be addressed in a buy-sell agreement or another internal governing document.
Removal may be as simple as the member submitting a letter of resignation, depending on the relevant provisions. However, if the member is not willing to voluntarily resign, the provisions might provide, for example, a voting procedure allowing the other members to vote for the removal of the recalcitrant member.
What Should be Included in an Operating Agreement? Names, addresses, and titles of each member. Ownership percentages. Member rights and responsibilities. Responsibility, liability, and powers of members and/or managers. Profit and loss distribution. Buying and selling rules. Dissolution instructions. Meeting guidelines.
Changes are made to the Articles of Organization by filing a Certificate of Amendment (form CSCL/CD-715) with the Bureau. Reasons for amending the Articles of Organization include changes in the name, purpose, or management structure.
