You may be business partners with somebody now youre not partners, youre LLC members together but your partners, okay? And you want to go your separate ways you want to continue the LLC, the other guy doesnt want to continue the LLC, he wants out. Thats fine get him out. How do you get him out? Thats the question. Well, you may have to buy him out and Im not going to go into the economics of it thats for you to figure out. But legally what youre going to do is youre going to put them in an entry and now here again youve got to look at your operating agreement or your bylaws if its a corporation bylaws operating agreement LLC They may have something in written in there that says how you get rid of a member or if the guy wants to sell his stock basically selling his stock or his membership interests you may be buying it the company may be buying it back it may go back into the trea

The most common policy for member organizations is to call a meeting of members and notify the board member in writing that they will be voted upon during said meeting. From there, bylaws can require the majority of (or sometimes more) members to vote to remove the board member.
Many governing documents provide that an officer may be removed by a majority vote of the board members, but that an elected board member may only be removed with a vote of the association membership.
The bylaws are the regulations of a corporation. They contain the basic rules for the conduct of the corporations business and affairs.
The board is responsible for hiring, evaluating, and, if needed, firing the executive director (ED). Though not illegal, the board should not be involved in hiring, evaluating or firing any other employee.
To fire a toxic board member, follow these five steps: Check with others first. Make sure other leaders at your organization agree that the board member you are concerned with is a true detriment. Record their poor behavior. Recruit allies. Be honest and up-front. Acknowledge any contributions.
How are directors selected? The shareholders should hold elections for appointing directors at shareholders meetings. The initial directors are selected before the Articles of Incorporation are filed, and then future elections are usually held at an annual shareholders meeting.
Call a special meeting when you want to change the board of directors before the term has ended. Give all shareholders notice of the meeting. The notice must include the place at which the meeting will be held, the time and date of the meeting, and the purpose for which you called the meeting.
Removing an Officer Officers include the president, vice president, financial officer and secretary. The board is ultimately responsible for nominating the officers and for any subsequent removal. In a typical situation, the removal is based by a majority vote of the shareholders.
Without further ado, here are five Board No-Nos. Getting paid. Going rogue. Being on a board with a family member. Directing staff or volunteers below the executive director. Playing politics. Thinking everything is fine and nothing needs to change.
