A corporate seal is used to authenticate your company documents. They come in two variations. The first variation is an embosser, which creates a 3-D impression on paper. The second type is an inked stamp.
Although its no longer legally required for corporations to have a corporate seal, many still choose to use a seal to emboss their legal documents. There are also some banks and other institutions that still require agreements to be officially sealed with the corporate embosser.
Common seal means the metallic seal of a company which can be affixed only with the approval of the Board of directors of the company. It is the signature of the company to any document on which it is affixed and binds the company for all obligations undertaken in the document.
A corporate seal normally includes: The name of your business. The year your business was incorporated. The state where your business was incorporated.
The common seal of an incorporated association is, in its physical manifestation, an inconspicuous and unimposing rubber stamp carrying the words Common Seal and the name and business number of the association. The common seal is in legal terms the equivalent of the signature of an ordinary individual.
A corporate seal is a stamp or embossed seal (that leaves an indentation on the paper) that contains the name of the corporation. Documents that are approved by the corporation are sometimes stamped or embossed by a corporate seal in order to confirm that the documents have been properly approved by the corporation.
A corporate seal can be obtained by completing the following steps: Register your corporation with the state. Corporations are governed by the state, not federally. Head to a local office supply store. Design your corporate seal. Choose the embosser. Purchase the corporate seal.
A common seal is the official stamp or signature of an association. As a body corporate an association is entitled to have a common seal though it is not compulsory. Common seals are not expensive to purchase and can be obtained from most stationery shops or rubber stamp suppliers.
