Hi guys, Brend here from Company Partners. In this short video, I want to quickly explain the importance of having a share certificate and a shareholders agreement in place. Its important to understand the difference between a director and a shareholder. A director is registered on the company registration documents and is in charge of the day-to-day management and operations of a company. A shareholder, on the other hand, is the one who owns the company and has the power. A director and a shareholder are not the same. Recapitalization focuses on injecting fresh capital to strengthen a companys financial position, while restructuring involves broader changes to improve operational efficiency and address underlying issues.
In Recapitalization Agreements an issuer and one or more of its securityholders agree to convert equity or debt into another class or series of securities of the issuer.
Private equity recapitalization is the process of bringing a new majority owner into a business. Essentially, recapitalization allows owners to sell a portion of their business while retaining enough to benefit from the companys future growth.
Recapitalization is the process of restructuring a companys debt and equity mixture, often to stabilize a companys capital structure. The process mainly involves the exchange of one form of financing for another, such as removing preferred shares from the companys capital structure and replacing them with bonds.
In an equity recapitalization, a company issues new equity shares in order to raise money to be used to buy back debt securities. The move can benefit companies that have a high debt-to-equity ratio. A high debt-to-equity ratio puts an additional burden on a company, as it must pay interest on its debt securities.
A leveraged buyout is a form of recapitalization where a company is purchased using a large amount of borrowed money. The assets of the company being acquired and those of the acquiring company are often used as collateral for the loans.
