For example, if a farmer offers to sell 1,000 red apples with delivery by truck to a businessman by noon the next day, and the businessman agrees but requests delivery by train instead, this does not constitute acceptance. The differing delivery method means the businessman has rejected the original offer and made a counteroffer. Consequently, the farmer has the choice to either not deliver the apples, as there is no binding contract, or accept the counteroffer and fulfill the new delivery terms.
