[Music] although arbitration does not have many of the formal rules and procedures used in court it is important to remember the arbitrators decision is final and binding on the parties courts can only overturn or change an arbitrators final award for very limited reasons therefore parties need to be prepared to present their best arguments in order for the arbitrator to decide in favor of a party the party must provide sufficient clear and convincing evidence to support their claims this is known as meeting the burden of proof the arbitrator will determine whether the party has met their burden of proof similarly the arbitrator will determine what evidence is admissible in arbitration neither the AAA nor the arbitrator May provide advice as to whether a partys evidence is sufficient to support their claims it is up to the party to determine what evidence they need to present to support the claims they are making parties will need to provide material evidence during the arbitration

The Terms of Reference are a contractual instrument signed by the parties and the arbitrators after the arbitral tribunal is constituted. Its main objective is to define the dispute in a clear manner and to evidence the agreement of the parties in regard to procedural matters.
(a) An arbitration agreement is an agreement by the parties to submit to arbitration all or certain disputes which have arisen or which may arise between them in respect of a defined legal relationship, whether or not contractual.
The Supreme Court reiterated that a dispute cannot be referred to arbitration based on the arbitration clause contained in another contract unless a specific reference was made in the main contract to incorporate the arbitration clause into the main contract.
Section 8. Power to refer parties to arbitration where there is an arbitration agreement.
(5) The reference in a contract to a document containing an arbitration clause constitutes an arbitration agreement if the contract is in writing and the reference is such as to make that arbitration clause part of the contract.
Typically, incorporation by reference refers to parties agreeing to incorporate arbitral clauses found in separate standard-form agreements (SFAs) into the agreement between the parties by making reference to the same.
