Most of us are familiar with the infamous Enron scandal and here is what Im guessing most people know about it. The company cooked the books and pull off some shady accounting tricks They were caught and now cease to exist as a result. But this is a very thin understanding of the subject There was so much stuff that went down I cant even do it justice in a short video like this. If you wanna become an expert on it, theres a movie I can recommend. Its called Enron: the Smartest Guys in the Room. Its nearly two hours about the scandal and honestly I think thats even rushing it. The entire ordeal is so complicated that there can easily be an entire college course centered around it and that course would be for the advanced students. Wouldnt it be great If someone created a youtube video that concisely explained it in a way that is both entertaining and easy to understand? The Pillars of Corporate Governance Its built on four pillars that we like to call the 4 Ps: People, Processes, Performance, and Purpose.
Lack of transparency This can include financial information, such as revenue and profit figures, or non-financial information, such as environmental, social and governance (ESG) data. Failure to disclose relevant information can lead to legal and reputational risks, as well as a loss of trust from stakeholders.
Here are some disadvantages to forming your business as a corporation: A corporation is a distinct legal entity. The business is governed by a board of directors. Double-taxation. Corporations pay taxes on profits distributed to shareholders. More complicated to form. More requirements. Higher costs.
Correct option is C. The Corporate Governance stems from the culture and mind set of management and cannot be regulated by legislation alone.
Corporate governance that calls for upstanding, transparent behavior can lead a company to make ethical decisions that will benefit all of its stakeholders, including investors. Bad corporate governance can lead to the breakdown of a company, often resulting in scandal and bankruptcy.
The Japanese model is the outlier of the three. Governance patterns take shape in light of two dominant legal relationships: one between shareholders, customers, suppliers, creditors, and employee unions; the other between administrators, managers, and shareholders.
Primary reasons behind corporate governance failure One of the key reasons for governance failure is a lack of proper oversight and accountability mechanisms. A study conducted by PwC in 2022 highlighted that companies without clearly defined oversight protocols were more likely to experience governance failure.
Disadvantages of Corporate Governance The cost of keeping legally compliant: Businesses face a slew of regulations that must be adhered to, with each industry attracting its own set of legislation. Increased costs: Maintenance of segregation: The principal-agent conflict:
