Combined Contracts means any contracts, arrangements or agreements that apply to the Assets and to any other business or asset of Sellers and their Affiliates. Combined Contracts means contracts between Seller and Customers that include Managed Services and Other Services in the same contract.
If the contract contains multiple performance obligations, revenue must be recognized in an amount equal to the fair value of each of the separate performance obligations. The transaction price is only allocated to goods and services that are both capable of being distinct and that are separately identifiable.
Contracts should also be combined if the performance provided under one contract affects the consideration to be paid under another contract. This would be the case when failure to perform under one contract affects the amount paid under another contract.
A contract could have several performance obligations which in themselves include sets of promises that are not distinct and cannot be separated.
Multiple performance obligations may be included in a contract, with revenue recognized separately for those that match the following two criteria: The item or service can be separate, which means that a client can profit from it on its own or in combination with other easily available resources.
While it is not uncommon for a contract to contain a single clear performance obligation, such as a retailer selling a single product to a consumer, or wholesale and manufacturing companies delivering a specified product to a customer, there may be additional performance obligations not previously considered.
In simple terms allocation of transaction price must be done proportionately based on the standalone selling price determined for each performance obligations within a Contract. Determination of standalone selling price and allocation of the transaction price is done at the inception of the contract.
To make a contract binding, it needs to include several key elements: Offer and acceptance One party needs to offer something (money, services, rights, etc.), and the other party needs to accept the offer. Consideration The benefit that both parties receive. This can be money, services, items, or anything of value.
